Terms of Service

1. Introduction
Welcome to Altera (“the App”). Altera allows merchants to export and import Shopify data via spreadsheets. By installing or using Altera, you (“Merchant” or “You”) agree to these Terms of Service (“Terms”) and our Privacy Policy (linked below). If you do not agree, please do not install or use the App.
2. Eligibility & Shopify Account
- You must have a valid Shopify store account to use Altera.
- You are responsible for maintaining your Shopify account in good standing, including compliance with Shopify’s terms and conditions.
3. License & Usage
- License Grant: Altera grants you a non-exclusive, non-transferable, revocable license to use the App solely for your internal business operations on Shopify.
- Restrictions: You shall not (a) misuse the App; (b) reverse engineer, decompile, or attempt to extract the source code from the App; or (c) use the App to violate any applicable laws.
4. Data Storage & Removal
- Minimum Data Storage: We store only the minimal data required to operate the App. For details on what data we collect and how we use it, please see our Privacy Policy.
- Data Deletion Upon Uninstallation: If you uninstall the App, we remove your data from our systems within 48 hours in accordance with Shopify’s policies.
5. Fees & Payment
- Subscription Fees: If Altera charges a recurring or usage-based fee, you agree to pay these fees as outlined in the Shopify App Store listing or in the subscription plan you selected.
- Changes to Fees: Altera may modify its fees upon notice to you. Continued use of the App after the effective date of the fee change constitutes your acceptance of the new fees.
6. Intellectual Property
- Ownership: Altera and all associated intellectual property (including designs, trademarks, and logos) are the sole property of Altera or its licensors.
- Feedback: Any suggestions or feedback you provide regarding Altera may be used by us without any obligation to compensate you.
7. Warranties & Disclaimers
- No Warranty: Altera is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or secure.
- Compliance: You are responsible for ensuring that your use of Altera complies with all applicable laws, regulations, and industry standards.
8. Limitation of Liability
- Indirect Damages: Under no circumstances shall Altera, its affiliates, or partners be liable for any indirect, incidental, consequential, special, or exemplary damages arising from the use or inability to use Altera.
- Maximum Liability: In no event shall Altera’s cumulative liability exceed the total fees you have paid for use of Altera in the six (6) months preceding the event giving rise to the liability.
9. Indemnification
You agree to indemnify, defend, and hold harmless Altera, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising from your use of Altera or your breach of these Terms.
10. Term & Termination
- Term: These Terms remain in effect as long as you use or have the App installed.
- Termination by You: You may discontinue use of Altera at any time by uninstalling the App.
- Termination by Us: We may terminate or suspend your access to Altera at any time, with or without cause, and without notice or liability.
- Effect of Termination: Upon termination, you lose all access to the App. We will delete your data according to our Privacy Policy.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of changes by posting an updated version in the App listing or via in-app notification. Your continued use of Altera after the effective date of any modifications indicates your acceptance of the revised Terms.
12. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of Florida, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be resolved exclusively in the courts located within Florida.
